520 $a "This book seeks to reconceptualise the role of shareholders in listed companies as one that should include fiduciary duties, particularly the duty to act in good faith in the best interests of the company and the duty to avoid unauthorised conflict of interest. The case study consists of the listed companies in four common law jurisdictions in Asia - Hong Kong, Singapore, India and Malaysia. My central argument comprises three primary claims. First, because the general meeting is an agent of the company, it owes fiduciary duties to the company, the most important of which for the purposes of this book is to act in good faith in the company's best interests. I develop a theory of what these interests should be through a normative, legal and empirical analysis"-- $c Provided by publisher.
